General Terms & Conditions

Basically. Business

By signing up for or purchasing any coaching or consulting services from Basically. Business. (“the Coach,” “we,” “us,” or “our”), you (“the Client”) agree to these Terms & Conditions. These Terms apply to all packages, including single sessions, monthly support, and multi-month coaching packages.

Services

We provide coaching and consulting services to help you grow your creative business. Our services are tailored to your needs and may include one-on-one coaching, templates, tools, and resources.

Confidentiality

We treat all information you share with us as confidential and will not disclose it to third parties without your written consent, except where required by law. You agree to keep all templates, frameworks, and materials shared by us confidential and for personal use only.

Intellectual Property

All materials, templates, guides, and resources shared with you remain our exclusive intellectual property. You are granted a non-transferable, non-commercial license for personal use only. You may not sell, distribute, or reproduce these materials for commercial purposes.

Personal Data & GDPR

We handle your personal data in line with the General Data Protection Regulation (GDPR) and Dutch law. For details on how we collect, use, and protect your data, please see our Privacy Policy.

Financial Statements & Revenue Targets

You agree to provide accurate and truthful financial information for revenue target calculations.

Baseline Revenue: For existing businesses, this is the average monthly revenue over the most recent 3 months prior to coaching. For start-ups, the baseline is considered zero.

Revenue Targets: Will be determined and agreed upon together, based on your market potential, sales, marketing efforts, and distribution channels.

Revenue will be calculated net of VAT, discounts, refunds, and credits and must be documented with bank statements or other official reliable records.

Payment Terms

All fees are payable monthly in advance, due within 3 days of the first day of each month, unless otherwise agreed in writing.

Payments can be made via bank transfer or approved payment methods.

Late payments will incur statutory interest in accordance with Article 6:119a of the Dutch Civil Code, currently 8% annually for commercial transactions (subject to updates).

We reserve the right to suspend services if payments are overdue.

Session Expiry & Booking Terms

All coaching calls must be scheduled and completed within the timeframe of the purchased package.

  • Single sessions (90 mins) must be used within 60 days of purchase.

  • Multi-month packages (e.g., 3, 6, 9, 12 months) are subscription-based. Sessions included in your package must be used within the active subscription period. Unused sessions do not roll over and will be forfeited if not used during the paid term.

  • It is the Client’s responsibility to schedule their sessions in time.

Cancellation & Early Termination

You may cancel the coaching agreement at any time by giving written notice.

You must complete the current month’s payment and pay an early termination fee equal to 50% of the remaining contract value (monthly fee x remaining months x 50%).

Any commission earned on revenue growth achieved to date is still due.

No refunds will be issued for payments already made.

Subscription Commitment & Non-Payment

By signing up for a 3,6,9 or 12-month coaching subscription, the Client agrees to a binding commitment for the full term. The monthly payment is an installment payment toward the full contract value.

Early cancellation is subject to a termination fee of 50% of the remaining value.

Failure to pay an installment constitutes a breach of contract. In such cases, we reserve the right to:

  • suspend services immediately,

  • invoice the remaining balance (or applicable early termination fee), and

  • pursue legal collection, including reasonable collection fees and interest.

Call Cancellation & Rescheduling

You must provide at least 24 hours’ notice to cancel or reschedule a coaching call. If you fail to do so, or if you miss the call without notice, the session will be considered delivered and no refund or reschedule will be granted. Exceptions may be considered at our discretion in cases of illness or emergency.

Refund Policy

Payments for coaching and consulting services are non-refundable, except in cases of gross negligence or misconduct by us.

Responsibilities & Disclaimer

We provide coaching and guidance to the best of our professional ability but do not guarantee specific financial results. You remain responsible for implementing strategies and decisions in your business.

Limitation of Liability

Our liability is limited to the amount paid by you for the relevant coaching period. We are not liable for indirect or consequential damages, including lost profits, business interruptions, or third-party claims.

Right of Withdrawal (Dutch Law)

Under Dutch law, consumers have the right to cancel online service agreements within 14 days of purchase. However, by requesting immediate delivery of coaching services, you waive this right under Article 6:230p BW.

Governing Law & Jurisdiction

These Terms & Conditions are governed by Dutch law. Any disputes will be submitted to the exclusive jurisdiction of the competent court in The Hague, the Netherlands.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms & Conditions constitute the entire agreement between you and us. Any changes must be made in writing and signed by both parties.
